Terms of Service

Welcome to deAPI ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our API services, website, and any related services (collectively, the "Service") provided by CoinAxe Ltd, a company registered in Malta with its registered office at Dragonara Business Centre, 5th Floor, Dragonara Road, St. Julians STJ 3141, Malta (registration number C 94976, VAT number MT27120603).

deAPI is a unified REST API platform providing access to open-source AI models — including image generation, voice synthesis and cloning, video generation, audio and video transcription, music generation, OCR/vision, and embeddings — powered by a decentralised network of third-party GPU infrastructure.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

To use our Service, you must create an account using one of our supported authentication methods:

• — Social login (Google): Your email is automatically verified through the authentication provider
• — Email registration: You must verify your email address by clicking the verification link sent to your inbox

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.1 Email Verification Requirement

For accounts created via email registration, email verification is required to access full account functionality, including:

• —Promotional credits ($5 welcome bonus)
• —API key generation and usage
• —Credit purchases
• —Full dashboard access

Until your email is verified, your account will have limited functionality. Verification links expire after 24 hours, but you may request a new verification email at any time.

2.2 Your Responsibilities

You agree to:

• —Provide accurate, current, and complete information during registration
• —Use a valid email address that you have access to
• —Complete email verification promptly to activate your account
• —Maintain and promptly update your account information
• —Notify us immediately of any unauthorized use of your account
• —Accept responsibility for all activities that occur under your account
• —Take reasonable security measures adequate to existing threats, including properly securing devices with access to your account and using strong passwords (at least eight characters, combining uppercase and lowercase letters, numbers, and special characters)

2.3 Multiple Accounts Prohibition

Each individual is permitted to maintain only one (1) account on the Service. You agree not to:

• —Create, operate, or control more than one account, whether directly or through third parties
• —Use different email addresses, social login providers, or other means to register additional accounts
• —Allow others to create accounts on your behalf for the purpose of circumventing this restriction
• —Transfer, sell, or share your account or account credentials with any third party

If we determine, at our sole discretion, that you own or control multiple accounts, we reserve the right to:

• —Immediately suspend or permanently terminate all associated accounts without prior notice
• —Forfeit all credits (both promotional and purchased) across all associated accounts without refund
• —Deny future registration and block access to the Service
• —Pursue any available legal remedies for damages resulting from abuse

Promotional credits ($5 welcome bonus) are strictly limited to one per individual. Any attempt to obtain multiple promotional credit bonuses through the creation of multiple accounts constitutes fraud and will be treated accordingly.

3.1 NSFW Content — 18+ Restriction

Certain AI models available through the Service are capable of generating adult, explicit, or sexually suggestive content ("NSFW Content"). Access to and generation of NSFW Content is strictly limited to users who are at least 18 years old (or the age of majority in their jurisdiction, whichever is higher).

By enabling or using any model or API endpoint capable of generating NSFW Content, you represent and warrant that:

• —You are at least 18 years old (or the age of majority in your jurisdiction, if higher)
• —You are legally permitted to access, generate, and view adult content under the laws of your country, state, or region
• —You will not distribute, display, or make NSFW Content accessible to minors in any way

3.2 Developer and Integrator Responsibilities

If you integrate our API into your own application, platform, bot, or service ("Your Application"), you are solely responsible for:

• —Implementing appropriate age verification or age-gating mechanisms before allowing end users to access NSFW Content through Your Application
• —Ensuring that NSFW Content is only displayed in age-restricted environments (e.g., age-gated channels, verified 18+ sections, or equivalent)
• —Clearly labelling and separating NSFW Content from content accessible to general audiences or minors
• —Complying with the content policies of any third-party platform on which Your Application operates (e.g., Discord, Telegram, web hosting providers)
• —Providing end users of Your Application with clear terms of service that include, at minimum, equivalent age restrictions and content warnings

Failure to implement adequate safeguards in Your Application constitutes a breach of these Terms.

3.3 Local Law Compliance

You are solely responsible for ensuring that generating, accessing, storing, or distributing NSFW Content (including AI-generated images, text, and video) is lawful in your country, state, or region. If such content is illegal or restricted in your jurisdiction, you must not use NSFW features of the Service.

3.4 Prohibited NSFW Content

Regardless of any other provision, the following content is strictly prohibited and must never be generated, requested, or distributed through the Service:

• —Content depicting minors in any sexual, explicit, or suggestive context — this includes real, fictional, AI-generated, or stylised depictions (e.g., anime, cartoon) of persons appearing to be under 18
• —Non-consensual sexual content, including deepfakes or AI-generated likenesses of real persons without their explicit consent
• —Content that sexualises violence, coercion, or exploitation
• —Bestiality or zoophilic content
• —Any content that violates applicable laws regarding obscenity, child exploitation, or sexual abuse material

Violation of this section will result in immediate and permanent account termination, forfeiture of all credits, and reporting to the appropriate law enforcement authorities where required or deemed appropriate.

3.5 Disabling NSFW Features

We reserve the right to disable, restrict, or limit access to NSFW-capable models or features at any time, without prior notice, for any reason, including but not limited to changes in applicable law, third-party provider policies, or our own content policies.

4.1 Service Description

The Service provides AI-powered voice cloning capabilities that allow users to upload a voice sample in WAV or MP3 format and generate synthetic audio output that reproduces the vocal characteristics of the uploaded sample with arbitrary text content ("Voice Cloning Feature").

4.2 Rights Confirmation and Consent Requirement

Before using the Voice Cloning Feature on the platform, you must expressly confirm — via a mandatory checkbox — that:

• —You are the rightful owner of the uploaded voice, or
• —You have obtained explicit, informed, and documented consent from the voice owner to use it for AI-based voice synthesis

The consent checkbox is available on the platform interface only. When using the Voice Cloning Feature via API, you accept full legal responsibility for ensuring that you hold valid rights or consent to use the uploaded voice sample. By submitting a voice sample through the API, you represent and warrant that the same consent requirements are met.

You are solely responsible for obtaining, maintaining, and being able to demonstrate valid consent. deAPI does not verify the authenticity of consent declarations but reserves the right to request proof at any time.

4.3 Prohibited Uses

You agree not to use the Voice Cloning Feature to:

• —Unauthorized cloning: Clone or reproduce the voice of any person without their explicit prior consent
• —Impersonation: Create audio that impersonates or misrepresents the identity of any person, whether for deception, fraud, social engineering, or any other purpose
• —Deepfake audio: Generate synthetic audio designed to mislead listeners into believing it was spoken by a real person who did not actually produce or authorize the content
• —Illegal activities: Use cloned voices in connection with any activity that violates applicable laws or regulations, including but not limited to fraud, harassment, defamation, blackmail, political manipulation, or unauthorized surveillance
• —Non-consensual intimate content: Combine cloned voices with sexual, explicit, or intimate content without the explicit consent of the person whose voice is being used

4.4 Developer and Integrator Responsibilities

If you integrate the Voice Cloning Feature into Your Application, you are additionally responsible for:

• —Implementing your own consent verification mechanism for end users uploading voice samples
• —Ensuring end users of Your Application agree to equivalent restrictions before using voice cloning capabilities
• —Maintaining audit trails of consent declarations collected from your end users
• —Promptly removing any cloned voice content upon receiving a valid takedown or revocation-of-consent request from the voice owner

4.5 Content Labelling

You agree to clearly label or disclose any AI-generated audio created using the Voice Cloning Feature as synthetic or AI-generated in any context where a reasonable person might believe the audio to be a genuine recording, unless the voice owner has explicitly waived such disclosure requirement.

4.6 Enforcement

Violation of any provision in this Section will result in:

• —Immediate suspension or permanent termination of your account
• —Forfeiture of all credits without refund
• —Deletion of all uploaded voice samples and generated audio content associated with your account
• —Reporting to the appropriate law enforcement authorities where the violation involves illegal activity

deAPI reserves the right to proactively monitor, review, or restrict access to the Voice Cloning Feature at any time to prevent misuse.

5.1 Promotional Credits

New users receive $5 in complimentary credits upon completing account verification. For email-registered accounts, promotional credits are activated only after successful email verification. For social login accounts (Google), credits are activated immediately as your email is pre-verified.

These promotional credits must be used within 90 days of account creation (not verification date), after which any unused credits will expire and be removed from your account. Promotional credits have no cash value, cannot be transferred, exchanged, or redeemed for cash, and are non-refundable.

5.2 Purchased Credits

Additional credits can be purchased through our available payment methods. Purchased credits do not expire while your account remains active and in good standing. Credits have no cash value and cannot be transferred to other accounts.

5.3 Refund Policy

Digital Service Commencement: By purchasing credits, you expressly consent to the immediate provision of digital services and acknowledge that you thereby lose your right of withdrawal under EU Consumer Rights Directive 2011/83/EU Article 16(m). You will be asked to confirm this consent during the checkout process.

Refund Eligibility: Refunds may be provided at our sole discretion in the following limited circumstances:

• —Service unavailability exceeding 48 consecutive hours due to our technical issues
• —Billing errors or duplicate charges
• —Credits not properly applied to your account after purchase
• —Where required by applicable law

Unused Credits: Purchased credits are non-refundable once any portion has been used. Promotional credits ($5 welcome bonus) are never refundable.

Refund Process: To request a refund, contact our support within 14 days of purchase with your transaction details. Approved refunds will be processed to the original payment method within 5–10 business days.

6.1 Payment Processing

All payments are processed by our third-party payment processor, Stripe, Inc. ("Stripe"). By providing your payment information, you authorize us to charge your payment method for all purchases made through the Service. You also authorize Stripe to process your payment information in accordance with Stripe's Services Agreement and Privacy Policy.

6.2 Billing Authorization

By purchasing credits, you:

• —Authorize us to charge your selected payment method immediately upon purchase
• —Confirm that all payment information provided is accurate and complete
• —Acknowledge that you are authorized to use the payment method
• —Agree to pay all charges at the prices then in effect

6.3 Currency and Pricing

All prices are displayed and charged in US Dollars (USD). If your payment method uses a different currency, your financial institution will handle the conversion at their current exchange rate. We are not responsible for any currency conversion fees or exchange rate differences.

6.4 Failed Payments

If a payment fails, we may retry the charge using the information on file. You are responsible for ensuring your payment information is current and valid. We reserve the right to suspend or terminate your access to the Service if payment cannot be processed after reasonable attempts.

6.5 Invoices and Tax

Electronic invoices will be provided via your account dashboard and sent to your registered email address. All amounts are exclusive of taxes unless stated otherwise. You are responsible for any applicable taxes, including VAT, sales tax, or other governmental levies imposed on your purchase. EU business customers may provide a valid VAT number for reverse charge mechanism where applicable.

6.6 Stored Payment Methods

If you choose to save your payment method for future purchases, you authorize us to store your payment credentials securely through Stripe and to charge your saved payment method for future credit purchases you initiate. You may remove stored payment methods at any time through your account settings. We do not store your full card number or CVV — this information is securely held by Stripe.

6.7 Payment Disputes

If you believe a charge is incorrect, please contact our support team within 60 days of the transaction. We will investigate and work to resolve legitimate billing disputes promptly. We encourage you to contact us directly before filing a chargeback with your bank, as we can often resolve issues more quickly.

Please note that filing a chargeback or payment dispute with your bank without first attempting to resolve the issue with us may result in temporary suspension of your account pending investigation. Fraudulent chargebacks may result in permanent account termination and forfeiture of remaining credits.

7.1 Program Overview

deAPI offers a Referral Program that allows existing users to invite new users to the platform and earn commission credits in return. The Referral Program is available to all registered users with a verified account in good standing.

The Referral Program may be modified, suspended, or discontinued at any time, at our sole discretion. Features, commission structures, payout methods, and program mechanics may change as the program evolves. We will make reasonable efforts to notify active participants of material changes in accordance with Section 15 of these Terms. Your continued participation after such changes constitutes acceptance of the updated terms.

7.2 Referral Mechanics

Each eligible user receives a unique, personal, and non-transferable referral link. The following rules apply:

• —A referred user is attributed to the first valid referral link used during registration — attribution is permanent and cannot be changed or retroactively assigned
• —Each referred user can be attributed to one (1) referrer only

7.3 Commission and Credits

Referrers earn a commission on all credit purchases made by their referred users:

• —The default commission rate is 10% of each credit purchase (net of taxes and fees), with lifetime attribution — you earn commission on all future purchases by your referred users for the duration of the program
• —We reserve the right to offer different commission rates to selected users at our sole discretion, and to adjust the default rate for new participants at any time
• —Commissions are credited automatically to your main credit balance — they have no cash value and cannot be transferred, withdrawn, or redeemed for cash
• —We reserve the right to expire unused commission credits twelve (12) months after the date they were credited to your account
• —We reserve the right to withhold, reverse, or forfeit commission credits if a referred user's payment is refunded or charged back, if fraud or abuse is detected, or if your account is suspended or terminated

7.4 Prohibited Conduct

You agree not to:

• —Use your own referral link to register additional accounts (self-referrals)
• —Create multiple accounts or use deceptive practices to exploit the Referral Program (see also Section 2.3)
• —Use spam, unsolicited messages, or misleading advertising to promote your referral link
• —Manipulate cookies, URLs, or technical mechanisms to falsely attribute referrals

7.5 Participant Obligations

• —When promoting your referral link, you must clearly disclose your financial relationship with deAPI in compliance with applicable consumer protection and advertising laws
• —You are solely responsible for any tax obligations arising from commission credits earned through the program
• —Participation in the Referral Program does not create an employment, agency, or partnership relationship between you and deAPI — you are an independent party

Due to the distributed nature of our infrastructure:

• —We cannot guarantee the confidentiality of data processed through our Service
• —You should not submit sensitive, confidential, or personally identifiable information
• —Generated content may be retained on third-party systems beyond our control
• —You acknowledge and accept these risks when using our Service

You are solely responsible for ensuring that any data you submit through the Service complies with applicable data protection laws (including GDPR), and that you have obtained any necessary consents from data subjects whose information is included in your API requests.

You are solely responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and third-party rights. You agree not to use the Service to:

• —Generate content that infringes on intellectual property rights
• —Create content for commercial purposes without proper licensing or authorization
• —Produce illegal, harmful, threatening, abusive, or objectionable content
• —Generate NSFW Content in violation of Section 3 of these Terms, including without limitation any content prohibited under Section 3.4
• —Make NSFW Content accessible to minors or distribute it without appropriate age-gating as required by Section 3.2
• —Use the Voice Cloning Feature in violation of Section 4 of these Terms
• —Violate the Referral Program rules set forth in Section 7 of these Terms, including self-referrals or fraudulent referral activity
• —Violate any local, state, national, or international law
• —Impersonate any person or entity or misrepresent your affiliation
• —Interfere with or disrupt the Service or servers/networks connected to the Service
• —Attempt to gain unauthorized access to any portion of the Service
• —Create or operate multiple accounts in violation of Section 2.3
• —Use automated scripts, bots, or other tools to circumvent rate limits or abuse the Service
• —Use the Service for any illegal or unauthorized purpose

You retain all rights to the input data you provide to our Service. For content generated through our Service, you are responsible for ensuring you have the necessary rights and licenses for your intended use.

You must not create, generate, or distribute content that:

• —Infringes on copyrights, trademarks, or other intellectual property rights
• —Violates publicity, privacy, or other personal rights
• —Contains proprietary information without authorization
• —Misappropriates trade secrets or confidential information

AI-Generated Content: deAPI does not warrant that content generated by AI models is free from infringement of third-party intellectual property rights, including but not limited to copyrights, trademarks, and patents. deAPI does not transfer to you any intellectual property rights in or to the AI models, their underlying training data, or any outputs generated thereby. You use AI-generated content entirely at your own risk and are solely responsible for ensuring that such use complies with applicable laws.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We specifically disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• —The Service will be uninterrupted, secure, or error-free
• —The results obtained from the Service will be accurate or reliable
• —The quality of any products, services, or content will meet your expectations
• —Any errors in the Service will be corrected
• —AI-generated content will be free from inaccuracies, biases, or flaws

CoinAxe provides services as available and without any express or implied warranty of any kind. The Service is an innovative solution and as such cannot be covered by a guarantee of proper functioning, including the absence of errors or faults.

To the maximum extent permitted by law, deAPI and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

In no event shall our total liability exceed the amount you have paid us in the past twelve months or $100, whichever is greater.

You agree to defend, indemnify, and hold harmless deAPI and its affiliates, officers, employees, agents, partners, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

• —Your violation of these Terms or your use of the Service
• —Your violation of any applicable licence terms of AI models
• —Any content generated, stored, published, or distributed by you using the Service
• —Your infringement or violation of any rights of a third party, including intellectual property rights, privacy rights, or publicity rights
• —Any claim by a third party arising from your breach of these Terms or violation of applicable law

14.1 Termination by Us

We may terminate or suspend your account for:

• —Breach of these Terms of Service
• —Fraudulent or illegal activity
• —Creation or operation of multiple accounts in violation of Section 2.3
• —Violation of the NSFW Content policies set forth in Section 3
• —Violation of the Voice Cloning Policy set forth in Section 4
• —Violation of the Referral Program rules set forth in Section 7
• —Non-payment or payment disputes
• —Extended period of inactivity (12+ months with no API usage)
• —As required by law or court order

Where we suspend an account, we will notify you of the suspension and its grounds within 48 hours via the email address associated with your account, unless we are prohibited from doing so by law or court order. You may appeal the suspension by contacting our support team.

14.2 Termination by You

You may terminate your account at any time through your account settings or by contacting support. Upon voluntary termination, unused purchased credits will remain available for 30 days to allow for final API usage, after which they will expire.

14.3 Effect of Termination

Upon termination:

• —Your right to access the Service ceases immediately (or after 30 days for voluntary termination)
• —API keys are revoked and cannot be restored
• —For termination due to breach of Terms: all credits are forfeited immediately
• —For voluntary termination: purchased credits remain accessible for 30 days
• —Promotional credits are always forfeited upon termination
• —Commission credits earned through the Referral Program are forfeited upon termination for breach; for voluntary termination, they remain available alongside purchased credits for the 30-day window
• —We will delete or anonymise your personal data as per our Privacy Policy, subject to legal retention requirements

We reserve the right to modify or replace these Terms at any time. We may amend these Terms in cases including:

• —Occurrence of important technical or organisational reasons, including emergence of new technologies
• —Changes in generally applicable laws affecting the Service
• —Need to adapt the Terms along with court judgments or administrative decisions
• —Need to remove ambiguities or clarify provisions
• —Changes in the rules of functioning or development of the Service
• —Change of address data, names, identification numbers, email addresses, or links

If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

If you do not consent to the amended Terms, you may terminate your account in accordance with Section 14.2 before the changes take effect.

These Terms shall be governed and construed in accordance with the laws of Malta, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Malta for any disputes arising out of or relating to these Terms or your use of the Service.

In the event that individual provisions of these Terms are considered invalid, the remaining provisions shall remain in full force and effect, and an invalid provision shall be replaced by a provision consistent with the basic principles and objectives of the Terms.

Alternative Dispute Resolution: In the event of disputes, any conflicts should first be resolved amicably. You may also use the following alternative dispute resolution mechanisms:

• —Malta Competition and Consumer Affairs Authority (MCCAA) — Office for Consumer Affairs, available at: mccaa.org.mt
• —Malta Arbitration Centre — available at: mac.org.mt
• —Any other alternative dispute resolution body recognised under the laws of Malta

These options do not exclude your right to assert your rights in court.

Force Majeure: Neither party shall be liable for any failure or delay in performance of obligations under these Terms if such failure or delay results from circumstances beyond reasonable control, including but not limited to: natural disasters, epidemics, pandemics, war, terrorism, civil unrest, governmental actions or restrictions, cyberattacks, or failure of third-party telecommunications or energy infrastructure. The affected party shall use reasonable endeavours to mitigate the effects of the force majeure event and shall resume performance as soon as reasonably practicable.

17.1 Right of Withdrawal

Under EU law, consumers normally have 14 days to withdraw from online purchases. However, this right does not apply to our Service because: (a) credits provide immediate access to digital content and services, and (b) by purchasing, you expressly consent to immediate performance and acknowledge that you lose your withdrawal right.

17.2 Dispute Resolution

EU consumers may use the European Commission's Online Dispute Resolution platform available at ec.europa.eu/consumers/odr. We prefer to resolve disputes directly — please contact us first through our support channels.

17.3 Statutory Rights

Nothing in these Terms affects your statutory rights as a consumer under applicable EU and Malta law, which cannot be waived or limited by contract.

When you submit data through our API that contains personal information, we act as a data processor on your behalf. You remain the data controller responsible for compliance with applicable data protection laws (including GDPR), including obtaining necessary consents from data subjects.

You are personally responsible for establishing and settling all tax and fiscal liabilities related to your use of the Service. deAPI does not make any tax deductions or pay any taxes on behalf of users.
